Investment considerations: a new hotel funded with bank debt, and an operating hotel whose FY2025 revenue fell 15%

The Peninsula Chittagong PLC owns and runs one operating hotel, The Peninsula Chittagong, at the GEC circle of Chattogram. The company describes it as "a service oriented hotel combining business with comfort" and its directors' report calls it a "four- star luxury business Hotel in Chittagong" [1 p.11] [1 p.23]. The hotel started commercial operation on 17-Feb-2006; the shares were listed on the DSE on 4-Jun-2014 after an initial public offering of 55,000,000 shares [1 p.60]. The company reports one business and geographic segment and has no subsidiary; every figure in this note is on the company basis [1 p.87] [1 p.41]. The fiscal year ends on 30 June.

The accounts show two items. The first is a second hotel, Peninsula Airport Garden at Plot no 2190, Naval Academy Road, South Patenga, which the auditor describes as a "new hotel building" [1 p.52]. Capital work in progress for it was BDT 2,540.1m at 30-Jun-2025 and BDT 2,870.6m at 31-Mar-2026, equal to 48.3% of total assets [1 p.73] [2 p.2] [35]. The second is the debt raised for it: long term loans from Modhumoti Bank PLC and Premier Bank PLC rose from nil at 1-Jul-2023 to BDT 1,456.4m at 30-Jun-2024, BDT 1,851.2m at 30-Jun-2025 and BDT 2,096.0m at 31-Mar-2026 [1 p.79] [2 p.2].

In FY2025 revenue fell from BDT 417.3m to BDT 353.7m, guest-room utilisation from 55.74% to 49.12%, and operating profit (gross profit less administrative and selling expenses) was BDT 25.4m [1 p.57] [1 p.87]. Finance costs in the income statement were BDT 62.8m [1 p.57]. Net profit after tax was BDT 7.0m (EPS BDT 0.06), and the income statement includes a BDT 51.4m non-operating credit labelled "Reverse/adjustment by BESBL (Negative equity)"; profit before tax less that credit is BDT -23.3m (derived) [1 p.85] [35]. The Chairman's letter states: "The highlight of the year's achievement has been the growth of non-operating income, which has continued to support overall profitability" [1 p.18].

Strengths in the filings

  • Equity of BDT 3,310.8m at 30-Jun-2025, 58.0% of total assets; land is carried at a revaluation of BDT 1,527.7m [1 p.56] [1 p.70] [35].
  • Nine months to March 2026: revenue up 4.9% to BDT 290.1m, operating profit BDT 36.2m from BDT 6.8m, and the net loss down from BDT 47.7m to BDT 10.5m [2 p.3].
  • Operating cash flow of BDT 161.7m in 9M FY2026, from BDT 17.5m a year earlier; receivables fell from BDT 43.2m to BDT 29.5m [2 p.2] [2 p.5].
  • Gross margin of 26.5% in FY2025 from 24.1% in FY2024, with cost of sales down 17.9% [35] [1 p.85].
  • The auditor's opinion on FY2025 is unmodified: the statements "present fairly, in all material respects" [1 p.50].

Weaknesses in the filings

  • Operating profit / finance costs was 0.41x in FY2025 and 0.28x in FY2024; it was 4.76x in FY2019 [35].
  • FY2025 profit before tax of BDT 28.1m includes the BDT 51.4m BESBL credit; FY2023 and FY2024 were loss years (BDT -40.1m and BDT -123.0m) [1 p.85] [1 p.26].
  • Repayment deferrals requested on both term loans and not approved at the report date; the auditor's third emphasis of matter cites "current financial difficulties of the company" [1 p.50] [1 p.80].
  • Guest-room utilisation of 49.12% in FY2025 is the lowest of the four years printed in this note (FY2021, FY2022, FY2024, FY2025) [1 p.87] [6 p.36] [35].
  • The shares sat in DSE category Z for not declaring dividends for two consecutive years until 26-Jan-2026; no dividend was recommended for FY2026 [1 p.60] [7].

Business and story: one Chattogram hotel, fixed-deposit income that fell away, and a second hotel under construction

The company was incorporated on 25-Jul-2002 as Voyager Bangladesh Limited, renamed The Peninsula Chittagong Limited on 7-Jun-2010, converted to a public company on 30-Nov-2010 and renamed The Peninsula Chittagong PLC in March 2024 [1 p.60]. The two pages give different dates for the last change: 6-Mar-2024 on the company profile page and 16-Mar-2024 in note 1.01 [1 p.11] [1 p.60]. The founders named on the opening page are Dr. Golam Arshad and Salima Begum [1 p.2]. The registered office and the hotel are at Bulbul Center, 486/B, O.R. Nizam Road, CDA Avenue, Chattogram; the company also has a Dhaka office at Panthapath [1 p.11].

The hotel sells rooms, food and beverage, minor operating departments and a small amount of space rent [1 p.82]. Note 1.04 lists "fitness centre, a luxurious oasis within the hotel with gymnasium, swimming pool, sauna, steam bath and massage treatments" [1 p.60]. Capacity in the service note is 52,560 guest room-nights a year, which implies 144 rooms (52,560 / 365, derived) [1 p.87] [35]. The directors' report names corporate and project travel and MICE clients as the demand it serves [1 p.23] [1 p.19].

Over eight years the business has had three phases. From FY2018 to FY2020 the company carried large fixed deposits: "Other Income" (the five-year table's name for finance income) was BDT 93.6m in FY2018 and BDT 82.0m in FY2019, more than operating profit in FY2018 [5 p.24]. Net profit after tax peaked at BDT 103.6m in FY2019 [5 p.25]. Finance income fell in each year from FY2019 to BDT 4.3m in FY2024, and financial expenses rose from BDT 15.0m (FY2019) to BDT 74.1m (FY2024) [5 p.24] [1 p.26]. In the third phase, FY2023 to FY2025, the company built Peninsula Airport Garden: capital work in progress grew from BDT 977.5m at 1-Jul-2023 to BDT 2,540.1m at 30-Jun-2025 [1 p.73].

The statement of utilisation of IPO proceeds reads: "Total IPO proceeds of Taka 1,650,000,000. IPO proceeds amounting to Taka 117,04,45,446/-Fully utilized as on 30 November 2023 and remaining works finished by Own Fund/Bank Finance. As on 30 June PAG Utilized total Taka 254,00,80,268 /-" [1 p.24]. The BDT 2,540,080,268 printed there is the same figure as the capital work in progress balance at 30-Jun-2025 [1 p.73]. Note 41.02 states: "The company has no capital expenditure commitment at the reporting date" [1 p.87].

Exhibit 21Key audit matters, quoted in full from the page images
Key audit matterText as printedHow our audit addressed the key audit matter
1 Revenue (Refer to Note 3.14 & 25)Revenue recognition has significant and wide influence on the financial statements. "The Company recognizes revenue upon transfer of service as per IFRS 15: Revenue from Contracts with Customers in its financial statements. The Company has reported revenue BDT 353.74 million in the financial statements for FY 2024-25." This material item is subject to considerable inherent risk due to the complexity and identifying revenue and the high number of transactions from which revenue is being recognized. Besides, the proper application of the accounting standards and assumptions made by management are considered to be complex and is therefore considered as key audit matter.Assessed whether the relevant systems support the accounting of revenue & tested the design of the operating effectiveness of internal controls related to revenue recognition. Performed walkthrough test to understand the adequacy and the design of the revenue cycle. Assessed the invoicing and measurement systems up to entries in the general ledger. Examined customer contracts, invoices and receipts of invoice amount on a test basis. Conducted analytical procedures such as trend analysis, ratio analysis, and variance analysis on a sample basis. Obtained and reviewed supporting documents for sales transactions recorded. Tested the timing of revenue recognition as well as cut off checked. Tested the revenue charging model against the regulatory guidelines, contractual provisions and accounting standards, on a sample basis & assessed whether the sufficient disclosure has been given.
2 Inventories (Refer to Note 3.07 & 9)The Company has disclosed inventory BDT 32.96 million in its financial statements for FY 2024-25. "Inventory is carried at the lower of cost and net realisable value in the financial statements. The exercise for the assessment of the net realisable value involves the use of judgement and assumptions that may vary depending on technological and socio-economical conditions and is therefore considered key audit matter."Verified a sample of inventory items to ensure that costs have been appropriately recorded. Tested on a sample basis the net realisable value by comparing costs to recent selling prices and assessing the reasonableness of any resulting write down of inventory items. Performed cut-off tests to determine that the purchases and sales of the inventories have been captured in the correct accounting period. Confirmed physical existence and completeness by performing annual physical inventory on a sample basis. Confirmed all necessary disclosures have been made and that the information is appropriately presented.
3 Capital Work-in-Progress (CWIP) (Refer to Note 3.03 & 6)The Company has reported significant addition in CWIP. During the year the Company has disclosed addition amounting to BDT 443.99 million in CWIP for constructing new hotel building namely Peninsula Airport Garden situated in Plot no 2190, Naval Academy Road, South Patenga Bandar,Chattogram. The capitalization of costs and the assessment of whether these costs meet the criteria for capitalization under relevant accounting standards involve significant judgment by the management. There is also a risk that costs may be incorrectly classified as CWIP. Due to the value and volume of transactions, we have considered CWIP as key audit matter.Assessed the Company's policies and procedures for identifying and capitalizing costs related to CWIP. We reviewed key contracts, invoices, and supporting documents to ensure that costs capitalized as CWIP met the criteria under IAS 16. Performed a physical inspection of the construction site to verify existence. We also select a sample of costs included in CWIP and traced them in supporting documentation, including supplier invoices and construction contracts, to confirm that they were directly attributable to the CWIP and appropriately classified. Reviewed the financial statements' disclosures related to CWIP to ensure that they were adequate and complied with relevant accounting standards.
4 Long-term loan (Refer to Note 3.10 & 19)The Company has significant long-term loan amounting to BDT 1851.25 million as on 30 June 2025 for financing the construction and development of a new hotel building. The loan terms include specific covenants that need to be complied with, and the repayment schedule extends over several years. Given the size of the loan and the long-term nature of the asset under construction, there is a heightened risk that non-compliance with loan covenants or changes in the estimated useful life of the hotel could lead to a material misstatement in the financial statements. So we have considered long term loan as key audit matter.Obtained and reviewed the loan agreements to understand the terms, including the interest rates, covenants, and repayment schedules. We verified that these terms were correctly reflected in the Company's financial statements. Evaluated the appropriateness of the capitalization of borrowing costs into the cost of the hotel project, ensuring that these costs were in accordance with the applicable accounting standards (IAS 23: Borrowing Costs). Re-calculated interest & confirmed the loan balance from the bank through balance confirmation.
5 Short-Term Investments (Refer to Note 3.08 & 13)Short-Term Investments includes Investment in FDR & Investment in tradable securities. Investment in tradable securities has been shown amounting to BDT 1.18 million. As described in the accounting policy note 3.08 to the financial statements, financial asset is recognized at fair value through Profit or loss account. Due to the value and volume of short-term investment in tradeable securities being held by the Company at the reporting date and complexities involved in the accounting and presentation thereof, short-term investments have been considered as key audit matter.Assessed that company has the ownership of existing securities & also performing the test of details to ensure cost/valuation of traded securities from Portfolio Statement. Performed test of details to ensure the disposal of traded securities by seeing the sales proceeds have been correctly accounted for and re-calculated the Profit/(Loss) on disposal of securities. Assessed the appropriate disclosure have been given to the notes as per IFRS-7: Financial Instruments Disclosures.
6 Leases (Refer to Note 3.04 & 5)The Company has disclosed Right-of-use assets (ROU) of BDT 81.24 million and lease liabilities BDT 108.18 million, arising from the lease rental agreements for its land spaces. For calculation of the lease liability, the management applies its judgement in determination of lease term where certainty of exercising the option to extend or the option not to terminate the lease is considered. The incremental borrowing rate is used as discounting rate in calculation of lease liability. We considered the implementation of IFRS 16: Leases as a key audit matter, since the balances recorded are material. Management had to apply several judgments and estimates such as lease term, discount rates, measurement basis among others and undertake a significant data extraction exercise to summarize the lease data for input into their lease calculation model.Obtained an understanding of the managements approach for implementing IFRS 16 and its impact on the financial statements & also obtained, read and evaluated the contracts for lease arrangements, especially the terms and conditions related to payments, lease incentives, any indirect costs, dismantling and restoration, option to extend the lease or not to terminate the lease. Tested the lease amortization schedule and depreciation schedule for each of the leases & adjustment is suggested to management, if any. Assessed whether the disclosures within the financial statements are as prescribed by the relevant IFRS Standards. Tested management assumptions in determining the certainty of exercising option to extend or terminate lease and the discounting rate applied to calculate lease liability.
