The FY2025 auditor is FAMES & R, Chartered Accountants (partner Fouzia Haque, FCA), report dated October 28, 2025 [1 p.48]. The opinion reads: 'In our opinion, the accompanying Financial Statements give a true and fair view in all material respects of the Financial Position of the company as at June 30, 2025 and its financial performance and its cash flows for the year then ended in accordance with International Financial Reporting Standards (IFRS), The Companies Act 1994, The Securities and Exchange Rules 2020 and other applicable laws and regulations.' [1 p.44]

The emphasis of matter reads in full: 'We have some reservation about Going Concern threat, due to huge amount of loans, liabilities, decreasing trend of revenue, stuck of inventories, uncertainty of advance realization, receivable collectability and current year's losses. Hence we draw attention in note number 3.16 of the notes to the financial statements regarding management's assessment of going concern. However, our opinion is not modified in respect of this matter.' [1 p.44] The basis for opinion reads: 'We conducted our audit in accordance with International Standards on Auditing (ISA). Our responsibilities under those standards are further described in the Auditors' Responsibilities for the Audit of the Financial Statements section of our report. We are independent of the company in accordance with the 'International Ethics Standards Board for Accountants' Code of Ethics for Professional Accountants (IESBA Code) together with the ethical requirements that are relevant to our audit of the financial statements in Bangladesh, and we have fulfilled our other ethical responsibilities in accordance with the IESBA Code. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.' [1 p.44]

Note 3.16, to which the auditor refers, lists management's assessment: 'Expected cash inflows from ongoing operations, adjusted for the current decline in sales', 'Potential recovery of receivables through intensified collection efforts and legal action where necessary', 'Planned reduction of inventory through discounting, disposal of slow-moving items, and tighter purchasing controls' and 'Discussions with lenders regarding potential restructuring or rescheduling of outstanding loans' [1 p.58]. Its mitigating actions include 'Loan restructuring: Ongoing negotiations with banks to obtain a waiver of covenant breaches and reschedule repayment terms' and 'Cost control: Implementation of cost reduction programs, including optimization of overheads and workforce rationalization' [1 p.58]. The note does not name the covenants or the banks.

Revenue RecognitionAt year-end the reported total Turnover of Tk. 169,190,759. The company generates revenue from the sales of goods. There is also a risk that revenue may be over stated/understated due to timing differences. We identified revenue recognition as a key audit matter as it is one of the key performance indicators of the Company, which gives rise to an inherent risk of the existence and the accuracy of the revenue.Obtaining an understanding of and assessing the design and operating effectiveness of controls designed to ensure that revenue is recognized in the appropriate accounting standards. Segregation of duties in invoice creation and modifica tion and timing of revenue recognition. Assessing the appropriateness of the Company's accounting policies for revenue recognition and compli-ance of those policies with applicable accounting standards. Obtain supporting documentation for sales transactions recorded either side of year-end to determine whether revenue was recognized in the correct period. Comparing a sample of revenue transactions recognized during the year with the sale invoices and other relevant underlying documentation. Comparing a sample of revenue transactions recognized during the year with the sale invoices and other relevant underlying documentation. Critically assessing manual journals posted to revenue to identify unusual or irregular items, and finally assessed the appropriateness and presentation of disclosures against relevant accounting standards. We read a sample of contracts to assess whether the method for recognition of revenue was relevant and consistent with IFRS-15 and had been applied consis-tently. We focused on contract classification, allocation of income and cost to the individual performance obliga-tions and timing of transfer of controls. Where a contract contained multiple elements, we considered Management's judgments as to whether they comprised performance obligations that should be accounted for separately and in such cases, challenged the judgments made in the allocation of the consideration to each performance obligation. We evaluated and challenged the significant judgments and estimates made by management in applying the company's accounting policy to a sample specific contracts and separable performance obligations of contracts and we obtained evidence to support including details of contractual agreements, delivery records, receipts and project plans. Please see to the Statement of profit or loss & other Comprehensive Income, note 3.03 & 20.00

Most of the inventories are of specialized in nature and required to be maintained in controlled environment. Regular monitoring is required as the inventories are material by its value, quantity and its nature. On the reporting date, inventories are carried at the lower of cost and net realizable value. As such, the companies apply judgment in determining the appropriate values of inven-tory in accordance with International Accounting Standards. Considering the risk as stated above the valuation of Inven-tory is a key audit matter to the Financial Statements. We verified the appropriateness of, management's assumptions applied in calculating the value of the inven-tory as per International Accounting Standards (IASs) by: Evaluating the design and implementation of key inventory controls operating across the factory, warehouse and depots. Attending inventory counts and reconciling the count results to the inventory listing to test the accuracy of data. Reviewing the historical accuracy of inventory provi sioning and the level of inventory write-offs during the year. Obtaining a detailed review with the subsequent sales to compare with the net realizable value. Please see note no. 3.02 & 5.00 to the Financial Statements.
Valuation of Tangible Fixed AssetsThe carrying value of the tangible fixed assets is Taka 1,250,063,624 as at June 30, 2025. The valuation of tangible fixed assets was identified as a key audit matter due to significance of this balance to the Financial Statements. The expenditures are classified as an asset, if it is probable that the future economic benefits associated with the item will flow to the entity and the cost of the item can be measured reliably. The useful lives of tangible fixed assets items are based on management's estimates regarding the period over which an asset is expected to be available for use. The estimates of the useful life of the assets is a matter of judgments based on the experience of the entity with similar assets and also take into consideration the physical condition of the assets. Our audit included the following procedures: We assessed whether the accounting policies in relation to the capitalization of expenditures are in compliance with IFRS and found them to be consistent.
